1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Tragrammers website at tragrammers.com, related applications, and digital products including MetaTrader 5 Expert Advisors ("EA"), MetaTrader 5 indicators, and TradingView indicators (collectively, the "Service" or "Products"), operated by [Your Korean Business Name / 상호] ("we", "us", "our"), a business registered in the Republic of Korea.

By creating an account, purchasing a license, downloading software, or otherwise using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Risk Disclaimer. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher, to use the Service.

You represent that you are not located in, ordinarily resident in, or a national of any jurisdiction where use of the Service or trading-related software would be prohibited by applicable law.

You are solely responsible for ensuring that your use of the Service and any trading activity complies with the laws and regulations of your country or region, including broker terms, exchange rules, and financial regulations.

3. Nature of the Service

We provide software tools and license management for algorithmic trading and technical analysis. We do not provide investment advice, portfolio management, brokerage services, custodial services, or regulated financial services.

Nothing on the Service constitutes a recommendation, solicitation, or offer to buy or sell any financial instrument, cryptocurrency, or other asset.

You remain solely responsible for all trading decisions, order execution, risk management, and compliance with your broker's terms.

4. Accounts and Security

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account.

We may issue EA authentication credentials and license keys upon purchase. You must not share, resell, sublicense, or publicly disclose license keys or authentication credentials except as expressly permitted in writing by us.

We may suspend or terminate accounts that violate these Terms, pose security risks, or are associated with fraudulent activity.

5. Licenses and Restrictions

Upon valid payment and while your subscription or permanent license remains active, we grant you a limited, non-exclusive, non-transferable, revocable license to use the purchased Product solely for your own trading or analysis, subject to the license tier purchased (e.g., single-account or multi-account).

Unless expressly authorized, you may not:

• copy, modify, reverse engineer, decompile, or create derivative works of the Products;
• remove or alter proprietary notices;
• share one license across unauthorized users, accounts, or devices;
• use the Products to develop competing products or services;
• circumvent license verification, technical protection measures, or usage limits.

6. Subscriptions, Pricing, and Payment

Products may be offered on a subscription or permanent license basis, and MT5 Products may be offered for single-account or multi-account use, as described on the product page at the time of purchase.

Prices are displayed in the currency indicated at checkout. Taxes, duties, or payment processor fees may apply depending on your location and payment method.

For subscriptions, access continues only while payment is current and the subscription remains active. We may change prices for future billing periods with reasonable notice where required by law.

Failure to renew may result in loss of access, deactivation of license validation, and suspension of updates or support.

7. Refunds

Because our Products are digital goods delivered immediately upon purchase, all sales are generally final except where required by applicable consumer protection law.

Refund eligibility, if any, is described in our Refund Policy. Nothing in these Terms limits mandatory rights that cannot be waived under the laws of your jurisdiction.

8. Disclaimers

THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any Product will generate profits or avoid losses.

Backtesting, hypothetical performance, screenshots, marketing materials, and examples are for illustrative purposes only and do not guarantee future results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE RELEVANT PRODUCT IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations of liability; in those cases, our liability will be limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your trading activity, your violation of these Terms, or your violation of any law or third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the Republic of Korea, unless mandatory consumer protection rules in your jurisdiction require otherwise.

If you are a consumer in the European Union, you may also have the right to bring claims in your country of residence where required by EU law.

12. International Users and Export

The Service is controlled and operated from the Republic of Korea. We make no representation that the Service is appropriate or available for use in all locations.

You agree not to export, re-export, or use the Service in violation of applicable export control, sanctions, or trade laws.

13. Changes and Termination

We may modify these Terms from time to time. We will post the updated Terms on the Service and update the effective date. Material changes may require renewed acceptance where mandated by law.

We may suspend or terminate the Service or your access at any time for breach, legal compliance, security, or business reasons, subject to applicable law.
